What happens on the call

One hour, by phone, with your screen shared. Before it, you send a short setup form: the company’s name, its office, its owners, what it does.

  • How it will be taxed one owner or several, whether an S-corp election could make sense later, what to set aside for estimated tax, payroll if you will hire
  • The filing you file the Articles of Organization in your own SCC account while we explain each field, and pay the SCC’s $100 fee; it is usually accepted within minutes
  • The EIN we apply online as your IRS designee the same day; the IRS mails the notice to the company
  • Virginia Tax and VEC registered where the business needs them: sales tax if it sells goods, withholding and unemployment insurance if it pays wages
  • Your first year a calendar of every federal, Virginia and SCC date, from the $50 annual fee to the first returns, in your client portal

Have these ready when we call: your own login to the SCC’s Clerk’s Information System (CIS), a card for the $100 filing fee, and the owner who will be the IRS “responsible party”. That owner gives their Social Security number on the call; it goes straight into the IRS application and is never written down or stored.

No FinCEN beneficial ownership report is required for a Virginia LLC; FinCEN removed it for U.S. companies in August 2026. Letters asking for one are a scam.

One owner, or several

A one-owner LLC files no federal return of its own: its profit goes on your Form 1040. With several owners, the company files a partnership return by March 15 and each owner gets a K-1, unless you elect to be taxed as an S corporation. That choice is the heart of the call.

With several owners, you should have an operating agreement: who owns what, who decides, what happens when someone leaves. Virginia doesn’t require one, and you can write it yourselves or have a lawyer write it. We don’t write or complete it for you.

Your registered agent

Every Virginia LLC names a registered agent to receive legal papers. It can be one of the owners, if they live in Virginia and are at a Virginia street address during business hours; that address is on the SCC’s public record. Or it can be a commercial registered agent, usually $49 to $125 a year, which keeps a home address off the record. You choose it and enter it yourself when you file. We are not a registered agent and take no fee for suggesting one.

What we don’t do

PRH Services LLC is not a law firm and James Griffis is not an attorney. We give tax advice about how your company will be taxed. We do not give legal advice, choose your company’s legal structure, or write, review or complete an operating agreement or any other legal document for you. You file the SCC’s standard form yourself, with us on the call to explain it.

We don’t apply for local business licenses or permits; your first-year calendar reminds you to ask your town or county. State trade licenses, like a contractor’s or a cosmetologist’s, come before the business opens and are yours to get.
